These Terms & Conditions ("Terms") govern your access to and use of Ritelio Core, the software platform provided by Ritelio ("Ritelio", "we", "us", or "our"), accessible at app.ritel.io and related domains. By creating an account or using Ritelio Core, you agree to these Terms. If you do not agree, please do not use the Service.
1. Who We Are
Ritelio is operated from Denpasar, Bali, Indonesia. You can reach us using the contact details on our Contact page.
2. The Service
Ritelio Core is a cloud-based business management platform covering point of sale, inventory, manufacturing, accounting, wholesale, customer management, and related features ("Service"). Ritelio Core is currently in private beta. Features, pricing, and availability may change as the Service develops, and we will do our best to communicate material changes to active subscribers in advance.
3. Accounts
To use the Service, you must create an account at app.ritel.io and provide accurate information. You are responsible for keeping your login credentials secure and for all activity that happens under your account. Notify us immediately at hello@ritelio.com if you suspect unauthorized access.
4. Subscriptions, Fees & Billing
Certain features of the Service require a paid subscription. Subscription fees, billing cycles, and payment methods are shown to you at checkout inside the application. Payments are processed through our payment partners, including iPaymu, and by subscribing you also agree to the applicable terms of those payment processors.
Subscriptions renew automatically for the same billing period unless cancelled before the renewal date. You can cancel anytime from within the application; cancellation takes effect at the end of the current billing period.
If you joined as an early adopter with locked-in pricing, that pricing remains in effect for as long as your subscription stays active without interruption. If your subscription lapses or is cancelled, you may need to resubscribe at the then-current price.
5. Free Trial
New accounts may start with a free trial period. At the end of the trial, you will need to subscribe to a paid plan to keep using the Service beyond the limits stated for the trial. We will let you know before any trial converts into a paid subscription that requires payment.
6. Your Data & Content
You own the business data you enter into Ritelio Core (products, transactions, customer records, and similar content, "Your Data"). We only use Your Data to provide the Service to you, as described in our Privacy Policy. You can export Your Data at any time, and you may request deletion of your account and associated data, subject to any legal or tax record-keeping obligations that apply to your business.
7. Acceptable Use
You agree not to use the Service to: (a) break any applicable law; (b) upload malicious code or attempt to disrupt the Service; (c) attempt to access another business’s data without authorization; or (d) resell or sublicense the Service without our written permission.
8. Intellectual Property
Ritelio and its licensors own all rights to the Ritelio Core software, branding, and documentation. These Terms do not transfer any ownership of the Service to you; you only receive the right to use it as described here.
9. Third-Party Services
Ritelio Core integrates with third-party services such as payment gateways (including iPaymu, Midtrans, Xendit, DOKU, Stripe, and PayPal), WhatsApp, and AI providers used to power certain features. Your use of those third-party services is subject to their own terms, and we are not responsible for their availability or performance.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available." While we work hard to keep it accurate and reliable, we do not guarantee that it will be uninterrupted or error-free, and we do not warrant the accuracy of AI-generated suggestions, forecasts, or insights, which are provided for guidance only and should be reviewed before you rely on them.
11. Limitation of Liability
To the maximum extent permitted by law, Ritelio is not liable for indirect, incidental, or consequential damages arising from your use of the Service, including lost profits or lost data, beyond the amount you paid us in the three months before the event giving rise to the claim.
12. Termination
We may suspend or terminate your access to the Service if you materially breach these Terms, including non-payment of fees, after reasonable notice where practical. You may stop using the Service and cancel your subscription at any time.
13. Changes to These Terms
We may update these Terms as the Service evolves. We will post the updated Terms here with a new "Last updated" date, and for material changes, we will make a reasonable effort to notify active subscribers.
14. Governing Law
These Terms are governed by the laws of the Republic of Indonesia. Any dispute arising from these Terms will be subject to the jurisdiction of the courts of Indonesia, without prejudice to any mandatory consumer protection rights you may have under Indonesian law.
